These Terms of Service (“Agreement”) constitute a legally binding agreement between The Food Corridor, LLC (“The Food Corridor,” “TFC,” “us,” “our,” or “we”) and you, whether as an individual or representing an entity (“You”). By accessing or utilizing any aspect of this food corridor platform, you signify your agreement to these Terms of Service, which may be updated periodically. This Agreement encompasses these terms and conditions, along with all policies and rules referenced herein, forming a complete understanding of your rights and responsibilities when using our platform.
You may encounter supplementary terms and conditions for specific sections of the Platform (“Additional Agreements”). These Additional Agreements, potentially involving additional fees, will apply alongside this Agreement. In case of any discrepancies, the Additional Agreement terms will govern your use of those specific Platform areas.
Unless superseded by subsequent Additional Agreements, this document represents the complete and exclusive understanding between you and The Food Corridor regarding your access to and use of the food corridor platform. It supersedes all prior communications and agreements, whether oral or written.
PLEASE READ THIS AGREEMENT CAREFULLY. IT IS A LEGALLY BINDING DOCUMENT CONTAINING CRUCIAL INFORMATION ABOUT YOUR RIGHTS, OBLIGATIONS, AND POTENTIAL LIABILITIES. IT INCLUDES LIMITATIONS AND EXCLUSIONS THAT AFFECT YOUR LEGAL RECOURSE.
IF YOU DO NOT AGREE WITH THESE TERMS, OR DO NOT MEET THE ELIGIBILITY CRITERIA, YOU ARE PROHIBITED FROM ACCESSING OR USING THE PLATFORM. YOUR ONLY RECOURSE IS TO DISCONTINUE USE.
Platform Modifications
The Food Corridor retains the right to modify or discontinue the Platform, or these Terms of Service, including Platform Fees, at any time without prior notice. For significant changes to this Agreement, we will post updates on the Site, revise the “last modified” date, and may provide additional notifications. It is your responsibility to periodically review these Terms for any changes. Continued use of the food corridor platform following modifications signifies your acceptance of the revised Agreement. If you disagree with the modified terms, your sole option is to cease using the Platform. The Food Corridor will not be liable for any modification, suspension, or discontinuance of the Platform to you or any third party.
Scope and Platform Limitations
The Food Corridor’s primary function is to facilitate connections that fuel business growth by linking Commercial Kitchens with available Kitchen Space to Food Businesses in need. It is important to understand that The Food Corridor itself is not a property owner, lessor, licensor, manager, or real estate broker. We do not own, sell, rent, manage, or control any Kitchen Space listed on the platform. All lease agreements or rental arrangements are established directly between Commercial Kitchens and Food Businesses.
Through this food corridor platform, Commercial Kitchens can list their Kitchen Space, and Food Businesses can discover and rent suitable spaces. The Food Corridor acts solely as a platform provider and, unless explicitly stated, is not a party to any agreements between Commercial Kitchens and Food Businesses. Entering into such agreements is at the Food Business’s own risk.
The Food Corridor exercises no control over the conduct of Commercial Kitchens, Food Businesses, or any platform users, and explicitly disclaims any liability in this regard.
Furthermore, The Food Corridor does not control or guarantee the accuracy of content in any listing, nor the physical condition or legal suitability of any Kitchen Space. We are not responsible for, and disclaim all liability related to, listings and Kitchen Spaces.
The Food Corridor is not an agent or insurer for any Commercial Kitchen, Food Business, property owner, or third party. We do not offer real estate brokerage or legal services. Users requiring such services should consult licensed professionals in their jurisdiction.
Authority and User Eligibility
If you are entering into this Agreement on behalf of an organization, you warrant that you have the authority to legally bind that entity and that the entity is in good standing in all relevant jurisdictions.
You further warrant that you possess all necessary authority, rights, and licenses to enter into and perform this Agreement, that this Agreement is legally binding and enforceable, and that your performance will not breach any existing agreements. You also confirm that there are no pending legal actions that would affect the validity of this Agreement.
Use of the food corridor platform is restricted to individuals and entities capable of forming legally binding contracts. You must be at least 18 years of age to use the Platform. By using the Platform, you represent that you meet this age requirement.
Key Definitions
To ensure clarity within this Agreement and your use of the food corridor, please familiarize yourself with these key terms:
- “Additional Fee”: Charges levied by a Commercial Kitchen on a Food Business for supplementary services or non-compliance with kitchen policies. Examples include cleaning, consulting, laundry, delivery, and storage fees.
- “Commercial Kitchen”: Any entity with legal access to a licensed food production space, authorized by local health departments to produce food for public consumption or resale. This includes commissary kitchens, incubator kitchens, schools, churches, community centers, and restaurants.
- “Content”: All forms of data and information available on the platform, including text, graphics, images, audio, video, logos, and messages.
- “Deposit Fee”: A security deposit or partial payment determined by the Commercial Kitchen, provided by the Food Business.
- “Food Business”: Any entity seeking to rent Kitchen Space from a Commercial Kitchen, such as food manufacturers, food trucks, community groups, chefs, and caterers.
- “Food Corridor Content”: All Content available through the Platform, excluding User Content, including licensed third-party content.
- “Intellectual Property Rights”: All rights related to trademarks, copyrights, patents, trade secrets, and other intellectual property, existing now or in the future, under any jurisdiction.
- “Kitchen Space”: An area within a Commercial Kitchen available for rent to Food Businesses, potentially including specific equipment requiring separate reservation or fees.
- “Lease”: Permission granted by a Commercial Kitchen to a Food Business to use Kitchen Space and associated personal property, governed by this Agreement and any direct agreements between the parties.
- “Lease Fee”: The fee charged by a Commercial Kitchen for the use of Kitchen Space and personal property.
- “Net Payment”: The Lease Fee and Additional Fees, minus the Platform Fee, applicable Taxes, refunds, credits, and other disclosed fees.
- “Plan”: The service level chosen by a Commercial Kitchen, as detailed on www.thefoodcorridor.com, providing access to Platform tools for booking, scheduling, payments, and communication.
- “Platform Fee(s)”: Fees charged by The Food Corridor for platform access and administration, subject to change, as described on our website.
- “Post” or “Posting”: Content uploaded to the Platform by Commercial Kitchens regarding Kitchen Space for lease, or by Food Businesses to create profiles.
- “Tax” or “Taxes”: Sales taxes, VAT, GST, and other similar indirect or withholding taxes.
- “TPS”: Third Party Website.
- “User”: Any individual or entity accessing or using the Platform, including Commercial Kitchens and Food Businesses.
- “User Content”: All Content posted, uploaded, or transmitted by Users on the Platform, including profiles, listings, messages, comments, images, and videos.
Accessing the Site
Subject to these Terms of Service, The Food Corridor grants you a limited, non-exclusive, revocable right to access and use the Site for your own purposes related to using the food corridor platform. If you are an entity, this right extends to your employees and contractors for internal business purposes. This access is non-transferable and non-sublicensable. The Food Corridor may, at its discretion, suspend or discontinue the Site or Platform, or any part thereof, with or without notice.
Account Access and Management
Access to certain Platform features requires creating an account (“Account”). Account approval is at The Food Corridor’s discretion and may be revoked at any time. You will be asked to provide Registration Information, which you agree to keep accurate and updated. You may not impersonate others or use offensive Account IDs.
Accounts and Account IDs are personal and non-transferable. You are responsible for all activity under your Account and for maintaining the security of your Account ID. Notify The Food Corridor immediately of any security breaches. You are liable for all costs and damages incurred through your Account, and all transactions completed through your Account are deemed authorized by you.
By providing your email, you consent to receiving communications from The Food Corridor regarding transactions, platform updates, promotions, and legal notices. You can opt out of promotional emails. Inaccurate or outdated information may lead to account suspension or termination. You are responsible for password confidentiality and must report any unauthorized account use immediately. The Food Corridor is not liable for losses due to unauthorized account access.
Commercial Kitchen Account and Listings
Commercial Kitchens can create listings for Kitchen Space and manage bookings, scheduling, and payments through the Platform by selecting a Plan. Creating a listing involves providing details about the Kitchen Space, including address, description, amenities, images, availability, pricing, and rules of use (“House Rules”). Eligibility requirements for Food Businesses can also be specified. Platform Fees apply as outlined at www.thefoodcorridor.com. Commercial Kitchens set their Lease Fees. The Food Corridor does not act as a broker or insurer. We reserve the right to remove listings deemed objectionable or in violation of this Agreement.
You are responsible for all listings you create and warrant that your Kitchen Space complies with all applicable laws and regulations, including health licensing. You must have the authority to list the Kitchen Space and ensure that leasing it does not breach any third-party agreements.
Food Business Account Creation and Booking
Food Businesses can lease Kitchen Space by requesting bookings through the Platform. The Food Corridor is not a broker or agent in this process. To book, Food Businesses must create an Account and a Listing detailing their needs. Account creation requires company information, contact details, and a password. Communication with Commercial Kitchens prior to booking is optional but recommended to ensure space suitability. The Food Corridor makes no warranties about listed Kitchen Spaces. To finalize a booking, Food Businesses must confirm the Commercial Kitchen’s acceptance, provide billing and payment information, guest details, and authorization for Deposit Fee charges.
Upon booking approval, confirmation is sent via the Platform, granting Kitchen Space usage rights according to the Lease and House Rules. Cancellation policies are determined by the Commercial Kitchen’s House Rules. The Food Corridor is not responsible for any fees incurred by Food Businesses, including cancellation, cleaning, or storage fees.
Lease Agreements and Responsibilities
The Food Corridor is not a real estate broker and does not offer brokerage services. We act as a platform for User Content publication.
Commercial Kitchens and Food Businesses are advised to seek professional legal counsel to create Lease agreements. Lease agreements are solely between these parties and are not the responsibility of The Food Corridor.
Financial Terms and Conditions
You agree to the pricing and payment terms detailed below, which may be updated. The Food Corridor may introduce or modify Platform Fees at any time. Bank fees may apply, which are beyond The Food Corridor’s control and liability. By providing credit card details, you agree to pay applicable fees according to House Rules. The Food Corridor is not responsible for fees incurred by Food Businesses, including cancellations or cleaning fees.
Payment processing is facilitated by Stripe and is governed by the Stripe Connected Account Agreement and Stripe Terms of Service (collectively, “Stripe Services Agreement”). By using The Food Corridor, you agree to be bound by the Stripe Services Agreement, as updated by Stripe. You authorize The Food Corridor to share your business information and transaction details with Stripe to enable payment processing.
Financial Terms for Commercial Kitchens
Commercial Kitchens select a service Plan at www.thefoodcorridor.com to access Platform tools. Plan fees are charged monthly in advance. Plans can be canceled anytime.
Commercial Kitchens set Lease Fees for their listings, which may vary based on hourly, monthly, or peak/off-peak rates. Monthly plans with capped hours and overage rates are also available. Lease Fees must include all anticipated costs and applicable Taxes. Additional fees can be charged separately.
When a booking is requested, the Commercial Kitchen is notified. Upon approval, the Food Business receives confirmation and payment instructions. Commercial Kitchens must provide payment details to receive Net Lease Fees.
Commercial Kitchens authorize The Food Corridor to collect Lease Fees and Additional Fees and remit Net Lease Fees. After full payment receipt by The Food Corridor, the Commercial Kitchen’s claim is against The Food Corridor, limited to the Net Lease Fee. The Platform Fee is a percentage of each Lease Fee. Payment of the Net Lease Fee is remitted to the Commercial Kitchen within fifteen (15) days of Lease Fee receipt, via chosen payment method. Commercial Kitchens are responsible for their Tax obligations.
Disputed fees require the Commercial Kitchen to provide documentation to resolve the dispute. If resolved in favor of the Food Business, the Commercial Kitchen will not receive the disputed fee or must return it if already remitted.
Financial Terms for Food Businesses
Food Businesses pay the listed Lease Fee plus a Platform Fee percentage. Booking acceptance triggers a notification. To finalize, Food Businesses must confirm acceptance, provide billing and credit card details, guest information, and authorization for Deposit and Additional Fees. A nominal charge may be applied for credit card verification. Cancellation fees may apply as per House Rules. The Food Corridor is not responsible for any fees incurred by Food Businesses.
On the booking date, Food Businesses are charged the Lease Fee, Platform Fee, applicable Taxes, and Additional Fees. Payment authorization is given upon booking. All fees are non-refundable, except as otherwise provided.
All payments must be made through the Platform. Direct payments to Commercial Kitchens or third parties are prohibited. Payment through the Platform limits the Commercial Kitchen’s recourse for payment to The Food Corridor only. Disputes must be reported within 45 days of the charge to [email protected]. Refunds are at The Food Corridor’s discretion. Failure to contact within 45 days renders you ineligible for a refund.
Kitchen Space Damage and Liability
Food Businesses are responsible for their actions and the actions of their guests. Commercial Kitchens are responsible for their personnel and invitees, excluding Food Businesses and their guests. Kitchen Space must be left in the condition it was provided. Damage caused by Food Business guests will be charged to the Food Business for repair or replacement costs. Reciprocally, damage to Food Business property by Commercial Kitchen parties will be the Commercial Kitchen’s responsibility.
The Food Corridor is not liable for damages caused by either party. Damage claims must be reported to [email protected] within 48 hours of discovery, with supporting evidence. The other party will be notified and required to respond within 48 hours. The Food Corridor may investigate but is not obligated to. We are not liable for compensation, but if liability is determined, we may report to authorities, collect damage costs from the responsible party, and suspend or terminate accounts. Uncollected damage payments remain the responsible party’s obligation. Collected damage payments, minus fees, will be remitted to the claimant. The Food Corridor does not provide indemnity for any damages.
Food Businesses agree that The Food Corridor may claim under their insurance policies for any damages caused to a Kitchen Space. Food Businesses agree to cooperate fully with any insurance claims.
Insurance Recommendations
The Food Corridor is not an insurer. We recommend Commercial Kitchens and Food Businesses obtain appropriate insurance coverage. Carefully review policy exclusions and deductibles to understand coverage for actions of all parties involved.
Tax Responsibilities
Governmental authorities may require Taxes to be collected on Kitchen Space usage. Tax regulations vary by jurisdiction.
Commercial Kitchens and Food Businesses are solely responsible for understanding and meeting their Tax obligations, including reporting, collection, and remittance of applicable Taxes. The Food Corridor does not provide Tax advice. You agree to indemnify The Food Corridor against any Tax-related claims or liabilities.
Rules of Platform Use
Users are responsible for their User Content and compliance with all applicable laws. You agree not to:
- Use automated means to access the Platform (except for public search engine operators).
- Exploit the Platform for unauthorized commercial purposes.
- Infringe on any rights, including intellectual property or privacy.
- Interfere with Platform operations or security.
- Post listings for Kitchen Space you do not have the right to lease.
- Create accounts for others without authorization or misrepresent your identity.
- Post unlawful or inappropriate content.
- Promote illegal activities.
- Violate any laws or regulations.
- Use Kitchen Space unlawfully.
- Post false or misleading information.
- Harass or abuse other Users.
- Discriminate in listings.
- Use the Platform to circumvent fees or solicit users for competing platforms.
- Reverse engineer, copy, or modify the Platform without permission.
- Circumvent security measures.
The Food Corridor may monitor User access and Content but is not obligated to. We have the right to enforce this Agreement, remove objectionable Content, suspend accounts, and report violations to law enforcement. Continued Agreement obligations apply post-termination. Users agree to cooperate with investigations.
No User Endorsement
The Food Corridor does not endorse any User, Kitchen Space, or listing. We do not screen or verify User Content or identities. You are responsible for verifying the identity and suitability of other Users and Kitchen Spaces. Communicate directly with Users. You agree to limit legal recourse for User actions to claims against those specific Users, not The Food Corridor. However, this limitation does not apply to Commercial Kitchen claims for payment remittance from The Food Corridor.

Intellectual Property Ownership
All Intellectual Property Rights related to the Platform and Food Corridor Content are owned by The Food Corridor and its licensors. You are granted no ownership rights beyond Platform access rights. The Food Corridor trademarks and proprietary designations are our exclusive property. All rights not expressly granted are reserved.
Content and User Content Licensing
All Food Corridor Content and User Content is for informational purposes only, without accuracy verification by The Food Corridor. You are solely responsible for your reliance on Content. We grant you a limited, revocable license to access and view Content for personal, non-commercial use within the Platform. You may not sublicense, modify, distribute, or remove notices from Content. No other rights are granted.
User Content and Responsibility
You may be permitted to post User Content. The Food Corridor claims no ownership of your User Content. By posting, you grant The Food Corridor a broad license to use, modify, distribute, and display your User Content on the Platform and other channels. You also grant other Users a license to access your Content within the Platform. Platform posting is not a substitute for intellectual property registration.
The Food Corridor is not liable for User Content or your reliance on it, nor for User compliance with laws regarding Content.
You acknowledge and warrant that:
- You are responsible for your User Content.
- Your Content is accurate.
- You will maintain and update your Content.
- The Food Corridor may screen and remove objectionable Content.
- Platform operation may involve Content transmission across networks and adaptation to technical requirements.
- The Food Corridor has no control over User conduct.
- You own or have rights to your User Content.
- Your Content does not violate laws or rights.
- Your Content, including listing and account information, is truthful and complies with laws.
- Your listings do not breach agreements or third-party rights.
The Food Corridor may set limits on data retention and storage and may change these limits at any time. We are not liable for Content deletion or storage failures.
Links to Third-Party Websites
The Platform may link to third-party websites (TPS). The Food Corridor is not responsible for TPS availability, accuracy, content, services, or products. You agree to TPS terms and privacy policies. We are not liable for TPS privacy practices, information accuracy, or reliability. Use TPS at your own risk, understanding that this Agreement and our Privacy Policy do not apply to TPS use.
Copyright Policy and DMCA Compliance

Upon termination, The Food Corridor will pay any owed amounts at its discretion.
Disclaimer of Warranties
PLATFORM USE IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES. TO THE EXTENT PERMITTED BY LAW, THE FOOD CORRIDOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PURPOSE, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR RELIABLE, OR THAT ANY SERVICES OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS. WE DISCLAIM LIABILITY FOR ACTS OR OMISSIONS OF ANY USER OR THIRD PARTY.
Limitation of Liability and Damages
TO THE EXTENT PERMITTED BY LAW, THE FOOD CORRIDOR AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY RISKS RELATED TO PLATFORM ACCESS OR USE, LISTINGS, BOOKINGS, OR USER INTERACTIONS.
WE ARE NOT LIABLE FOR INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, SERVICE INTERRUPTION, COMPUTER DAMAGE, UNAUTHORIZED ACCOUNT ACCESS, CONTENT ERRORS, USER CONDUCT, TRANSACTIONS, PROPERTY DAMAGE, PERSONAL INJURY, OR EMOTIONAL DISTRESS, EVEN IF ADVISED OF SUCH POTENTIAL DAMAGES.
OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF AMOUNTS PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM OR $100 USD.

You agree to indemnify and hold harmless The Food Corridor and its affiliates from any claims, costs, damages, and expenses arising from your Platform use, breach of this Agreement, interaction with Users, violation of laws, use of Kitchen Space, or unauthorized account access. This includes waiving California Civil Code Section 1542 and similar statutes in other jurisdictions regarding unknown claims.
Entire Agreement and Modifications
This Agreement constitutes the entire agreement, superseding prior agreements. The Food Corridor may modify this Agreement, with modifications binding on all Users and applicable to Leases from the next term onwards.
Assignment Restrictions
You may not assign this Agreement without prior written consent from The Food Corridor. We may assign this Agreement at our discretion. This Agreement binds successors and permitted assigns.

Notices are deemed received upon confirmed receipt.
Communications from The Food Corridor may be via email, mail, or Platform posting. Email notices are deemed received upon transmission. We are not responsible for email filtering.
Reporting Misconduct and Illegal Activity
Report inappropriate or illegal User behavior to law enforcement and to The Food Corridor at [email protected]. Our action on reports is not guaranteed beyond legal obligations, and we incur no liability to you for reports.
Governing Law and Jurisdiction
The Platform is deemed based in Colorado, USA, and is a passive platform not giving rise to jurisdiction outside of Colorado. This Agreement is governed by Colorado law, excluding conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods. Disputes will be resolved in courts in Denver, Colorado. Jury trial is waived.
Dispute Resolution Process
Attempt informal dispute resolution with The Food Corridor at [email protected] before legal action. Unresolved disputes will be exclusively settled in US District Court for the District of Colorado or state court in Denver, Colorado. Prevailing parties may recover attorney’s fees. Jury trial is waived for all disputes.
General Terms and Conditions
Failure to enforce any right does not waive future enforcement. Remedies are cumulative. Invalid provisions will be enforced to the maximum extent possible, with remaining provisions in effect. Claims must be filed within one year of occurrence. Electronic Agreement copies are admissible in legal proceedings. The Food Corridor’s rights are absolute and not subject to review.
